1. ABOUT THESE TERMS

These Terms & Conditions (“Terms”) govern your use of the Elevate Labs platform, including the Elevate Labs Student mobile application, the Elevate Labs Trainer mobile application, and the Elevate Labs Super Admin web portal (together, “Elevate Labs” or “the Platform”). The Platform is owned and operated by MOCEANS Center for Independent Living (“MOCEANS,” “we,” “us,” or “our”).

By activating your Elevate Labs account and using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not activate the account and do not use the Platform.

2. WHAT THE PLATFORM IS

Elevate Labs is a centralized communication and access platform for MOCEANS program participants. It brings program information, messaging, and links to supported third-party systems into one mobile experience. Elevate Labs is not a Learning Management System. It does not host courses, host career-planning content, deliver classroom instruction, or process payroll. It integrates with the following third-party systems where supported:

  • Tavuti LMS: courses, assignments, and learning progress
  • Pathful: career exploration and planning
  • Google Classroom: classroom information and assignments
  • Gusto: internship payroll, hours, and attendance

Those third-party systems remain owned and operated by their respective providers. Your use of them is governed by their own terms of service and privacy policies, in addition to these Terms.

3. ELIGIBILITY

Elevate Labs is available only to individuals authorized by MOCEANS to participate in a MOCEANS program in a student, trainer, or administrator role. You may use the Platform only if:

  • A MOCEANS administrator has invited you and issued you an account.
  • You are a current participant, staff member, or authorized representative of a MOCEANS program.
  • You are of the age required to enter into a binding agreement in your jurisdiction, or, if you are a minor, a parent or legal guardian has authorized your participation as required by the program and applicable law.

If you no longer meet these eligibility requirements, your access may be suspended or terminated.

4. YOUR ACCOUNT

4.1 Account creation is administrator-controlled

You do not sign up for Elevate Labs on your own. A MOCEANS administrator initiates your account and sends an email invitation. You activate the account through that invitation link, verify your email, and complete the profile information the administrator has approved for your role.

4.2 Account credentials

You are responsible for keeping your account credentials confidential. You may not share your login with anyone else. If you believe your account has been accessed without your permission, contact support immediately.

4.3 Account information

You are responsible for the accuracy of the profile information you provide. You may update permitted fields through the app. Certain information (such as your email address, role, and program assignments) is controlled by administrators and cannot be edited from within the app.

4.4 Account status

Account activation, suspension, reactivation, and deactivation remain administrator-controlled. MOCEANS may suspend or terminate your account at any time, with or without notice, for any reason including but not limited to violation of these Terms, program departure, or program requirements.

5. ACCEPTABLE USE

You agree to use Elevate Labs only for its intended purpose: participating in a MOCEANS program, communicating with your assigned trainer or students, and accessing program resources.

You will not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Send messages, share content, or use the Platform in a way that is harassing, threatening, abusive, obscene, discriminatory, defamatory, or otherwise harmful.
  • Impersonate any person, misrepresent your identity, or falsely state your affiliation with any person or organization.
  • Attempt to access accounts, systems, or data you are not authorized to access.
  • Reverse-engineer, decompile, disassemble, or attempt to extract source code from the Platform.
  • Introduce viruses, malware, or any code designed to interfere with the Platform.
  • Scrape, crawl, or use automated tools to access the Platform except with written permission.
  • Use the Platform to send unsolicited messages, promote products or services, or engage in activity unrelated to the MOCEANS program.
  • Circumvent security measures or access controls, including those governing third-party integrations.
  • Interfere with another user’s use of the Platform.

MOCEANS may investigate suspected violations and take appropriate action, including account suspension or termination and, where appropriate, referral to law enforcement.

6. MESSAGING AND COMMUNICATION

The Platform includes text-based messaging between students and their assigned trainers. By using this messaging feature you understand and agree that:

  • Messages are retained by the Platform for future reference, operational tracking, and program oversight.
  • MOCEANS administrators may review message content and metadata as needed to run the program, investigate policy violations, comply with legal obligations, or ensure participant safety.
  • Messages are not private communications between two individuals in the sense of personal texts. They are program communications inside a program-operated Platform.
  • Messages should relate to your MOCEANS program. Personal, off-topic, or non-program conversations may be discouraged or restricted by administrators.
  • Current messaging is text-only. Attachments, group chats, and advanced messaging features are not part of this release and require separate approval.

7. CONTENT AND INTELLECTUAL PROPERTY

7.1 Our content

The Platform, its design, its features, and all related trademarks, service marks, logos, text, graphics, and other content owned by MOCEANS or its licensors are the property of MOCEANS and are protected by intellectual property laws. Nothing in these Terms gives you a right to use any MOCEANS trademarks or branding without prior written permission.

7.2 Program resources

Documents, PDFs, external links, and program materials made available through the Resource Library are provided for use by MOCEANS program participants only. You may not redistribute or repost these materials outside the program without permission from MOCEANS or the original rights holder.

7.3 Your content

You retain ownership of any information you provide through the Platform, including profile information and message content. By providing that information, you grant MOCEANS a limited, non-exclusive, worldwide, royalty-free license to use, store, display, and process it as needed to operate the Platform and support the MOCEANS program.

7.4 Third-party content

Content displayed from Tavuti, Pathful, Google Classroom, Gusto, or any other integrated third-party system is owned by the third-party provider or its content licensors. Your use of that content is governed by the terms of the applicable third-party system.

8. THIRD-PARTY INTEGRATIONS

Elevate Labs integrates with Tavuti LMS, Pathful, Google Classroom, and Gusto. When you use those integrations:

  • Your access to each third-party system is subject to that provider’s terms of service, privacy policy, availability, and technical capabilities.
  • You must have or obtain the required accounts, licenses, and permissions for each third-party system through MOCEANS and the applicable provider.
  • Information displayed in Elevate Labs from a third-party system depends on that provider’s APIs and access rules. It may not be complete, real-time, or continuously available.
  • If a third-party provider changes its API, permissions, licensing, authentication, or service level, related Elevate Labs features may change, become limited, or become unavailable.
  • MOCEANS is not responsible for third-party service outages, vendor-side defects, discontinued functionality, revoked access, or changes made by third-party providers.

9. NO PAYROLL, NO PAYMENT PROCESSING

Elevate Labs does not process payments, does not process payroll, does not record custom attendance, and does not include in-app time tracking or internship-hour approval.

Where the Platform displays payroll, attendance, or internship-hour information, that information is retrieved from Gusto through supported integration methods. Gusto remains the single source of truth for all payroll and time-tracking data. Any dispute about payroll, hours, or attendance must be resolved directly through Gusto or through MOCEANS administrative processes, not through the Platform.

10. NOTIFICATIONS

Elevate Labs may send push notifications for messages, program announcements, reminders, and assignment updates. You may manage notification preferences in the app subject to operating-system permissions. Turning notifications off may cause you to miss important program communications.

11. ACCESSIBILITY

MOCEANS is committed to making Elevate Labs usable by people with disabilities. The Platform is developed following accessibility best practices, including screen-reader compatibility, large touch-friendly controls, scalable text, strong color contrast, and clear navigation.

12. DISCLAIMERS

To the fullest extent permitted by law:

  • The Platform is provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • MOCEANS does not warrant that the Platform will be uninterrupted, error-free, secure against all threats, or free of viruses or other harmful components.
  • MOCEANS does not warrant the accuracy, completeness, or timeliness of information retrieved from third-party systems.
  • Elevate Labs does not provide medical, legal, financial, educational-certification, or professional advice. Information available through the Platform is for program-participation purposes only.
  • The Platform is not designed for emergency use. In an emergency, contact local emergency services directly.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • MOCEANS, its staff, its board, its volunteers, its service providers, and its licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Platform, even if advised of the possibility of such damages.
  • MOCEANS’s total liability arising out of or related to these Terms or your use of the Platform will not exceed one hundred United States dollars ($100) or the fees you paid to MOCEANS for Platform access in the twelve months before the claim, whichever is greater.
  • Some jurisdictions do not allow the exclusion or limitation of certain damages. Where those laws apply, the exclusions and limitations above apply only to the extent permitted by law.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MOCEANS, its staff, its board, its volunteers, its service providers, and its licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of the Platform.
  • Your violation of these Terms.
  • Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
  • Your violation of any applicable law or regulation.

15. TERMINATION

MOCEANS may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Reasons for suspension or termination may include, without limitation, violation of these Terms, departure from the MOCEANS program, program restructuring, or a legal or regulatory requirement.

You may stop using the Platform at any time. To request account deactivation, contact your MOCEANS administrator or email [email protected].

Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

16. CHANGES TO THESE TERMS

We may update these Terms from time to time. When we make material changes, we will notify users through the Platform or by email and update the “Last Updated” date at the top of these Terms. Your continued use of the Platform after changes take effect means you accept the updated Terms. If you do not agree, contact us to discuss options for your account.

17. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the States of US, without regard to conflict-of-law principles.

Any dispute arising out of or related to these Terms or the Platform will be resolved in the state or federal courts and you consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.

18. GENERAL

  • Entire agreement. These Terms and the Privacy Policy make up the entire agreement between you and MOCEANS regarding the Platform.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. MOCEANS may assign these Terms without restriction.
  • No third-party beneficiaries. These Terms are between you and MOCEANS. No other person or entity has any right to enforce these Terms.
  • Notices. Notices from MOCEANS to you may be given through the Platform, by email to the address associated with your account, or by any other reasonable method.
